End-User License Agreement

Effective Date: February 15, 2026

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and Scalewise Finance (“Company,” “we,” or “us”) governing your use of the Claude application (“Application”), which integrates with Intuit QuickBooks Online via the QuickBooks API.

By accessing or using the Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Application.

1. License Grant

Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for your internal business purposes in connection with your authorized QuickBooks Online account.

2. Restrictions

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Application;
• Reverse engineer, decompile, or disassemble the Application;
• Use the Application for any unlawful purpose or in violation of any applicable laws or regulations;
• Attempt to gain unauthorized access to any systems or networks connected to the Application;
• Use the Application to transmit any malicious code, viruses, or harmful data;
• Sublicense, resell, or provide access to the Application to any third party without our prior written consent.

3. QuickBooks Integration

The Application connects to your QuickBooks Online account through Intuit’s API. By using the Application, you authorize us to access, read, and where applicable write data to your QuickBooks Online account as necessary to provide the Application’s functionality. You acknowledge that:

• You must have a valid QuickBooks Online subscription to use the Application;
• Our access to your QuickBooks data is governed by both this Agreement and Intuit’s terms of service;
• You may revoke the Application’s access to your QuickBooks account at any time through your QuickBooks settings or by contacting us;
• We are not responsible for any changes, outages, or limitations imposed by Intuit on the QuickBooks API.

4. Data Ownership

You retain all ownership rights to your data. We do not claim ownership of any data you provide or that is accessed through your QuickBooks account. Our use of your data is limited to providing and improving the Application’s services, as further described in our Privacy Policy.

5. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

6. Fees and Payment

Certain features of the Application may require payment. If applicable, fees will be disclosed before you incur any charges. All fees are non-refundable unless otherwise stated or required by applicable law.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCALEWISE FINANCE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Scalewise Finance and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Application or your violation of this Agreement.

10. Termination

We may terminate or suspend your access to the Application at any time, with or without cause and with or without notice. Upon termination, your license to use the Application will immediately cease. You may terminate this Agreement at any time by discontinuing use of the Application and revoking its access to your QuickBooks account.

11. Modifications

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement with a new effective date. Your continued use of the Application after such changes constitutes acceptance of the modified terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in San Francisco County, California.

13. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Scalewise Finance with respect to the Application and supersedes all prior agreements and understandings.
